1. Acceptance of Terms

By accessing or using Visitor IQ, a service operated by Postforge, Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Visitor IQ is a visitor identification and intent data platform. The Service allows you to install a tracking pixel on your website, identify anonymous visitors by matching behavioral and technical signals against our identity graph, build segmented audiences, and sync identified visitor data to third-party platforms such as CRMs and advertising networks.

3. Eligibility and Account Registration

You must be at least 18 years old and capable of forming a legally binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

You may not create an account on behalf of another person without their authorization, or use a false identity to register.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to collect data on individuals without a lawful basis under applicable privacy law (including GDPR and CCPA)
  • Install the tracking pixel on websites you do not own or control, or without the knowledge of the website operator
  • Use identified visitor data to send unsolicited communications (spam) or engage in harassment
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service
  • Use the Service to build a competing product or service
  • Circumvent, disable, or interfere with security features of the Service
  • Use the Service in any way that violates applicable local, national, or international law or regulation
  • Transmit any data through the Service that infringes on the intellectual property rights of any third party

5. Your Responsibilities as Data Controller

When you use the Visitor IQ pixel to collect data about your website visitors, you act as the data controller (under GDPR) or business (under CCPA), and Postforge, Inc. acts as your data processor or service provider. You are solely responsible for:

  • Ensuring you have a lawful basis to collect and process visitor data (e.g., legitimate interest, consent)
  • Displaying a compliant cookie consent banner or privacy notice on your website that discloses the use of visitor identification technology
  • Honoring data subject rights requests (access, deletion, portability) for your visitors
  • Ensuring that any downstream use of identified visitor data — including syncing to CRMs or ad platforms — complies with applicable law and the terms of those third-party platforms
  • Maintaining a current and accurate privacy policy on your website that discloses your use of visitor identification services

We will process visitor data only on your documented instructions and in accordance with our Data Processing Agreement, which is incorporated into these Terms by reference.

6. Intellectual Property

The Service, including its software, design, text, graphics, and identity graph, is owned by Postforge, Inc. and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain ownership of your own data (your account data, your pixel configuration, and visitor data collected on your behalf). You grant us a limited license to process that data solely to provide the Service to you.

7. Third-Party Integrations

The Service allows you to connect and sync data with third-party platforms (HubSpot, Klaviyo, Facebook, Google Ads, and others via webhook). Your use of those platforms is governed by their respective terms of service and privacy policies. We are not responsible for the practices of any third-party platform.

By configuring a sync rule, you authorize us to transmit identified visitor data to the designated platform on your behalf. You are responsible for ensuring such transmission is permitted under applicable law and the terms of the receiving platform.

8. Fees and Payment

Certain features of the Service may require a paid subscription. Fees are described on our pricing page and are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in these Terms.

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

If payment fails, we may suspend your access to the Service after providing reasonable notice. You remain responsible for any unpaid amounts.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that identification match rates will meet any specific threshold. Match rates are probabilistic and vary based on traffic source, geography, and other factors outside our control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POSTFORGE, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Postforge, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) your failure to comply with your obligations as a data controller.

12. Term and Termination

These Terms remain in effect while you use the Service. You may terminate your account at any time from your account settings. We may suspend or terminate your access immediately if you violate these Terms, or with 30 days' notice for any other reason.

Upon termination, your right to use the Service ceases immediately. Sections 5, 6, 9, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
